1. Acceptance of Terms
By accessing and using the services provided by 15639930 CANADA INC, aka and hereafter referred to Change Cleaning ("we," "us," or "our"), you ("Client" or "you") agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of our services, including clients, visitors, and any others who access or use the services. If you do not agree to these Terms, please do not use our services.
2. Services Provided
Change Cleaning offers luxury home cleaning and concierge services in the Greater Toronto Area. Our services include, but are not limited to, deep cleaning, laundry, bed sheet ironing, fridge stocking, and errand running. We reserve the right to modify or discontinue any services at any time, with or without notice.
2.1. Service Availability
Services are subject to availability and are provided on a first-come, first-served basis. We do not guarantee the availability of our services at any specific time or location.
2.2. Service Modifications
We may modify the scope, price, or availability of any service at our discretion. We will make reasonable efforts to inform you of any changes to your booked services. Continued use of our services following any changes indicates your acceptance of those changes.
3. Independent Contractors
All cleaning services are provided by independent contractors ("Cleaners"). These contractors are not employees of Change Cleaning. Each Cleaner is responsible for their own liability insurance, which we demand a copy of at the inception of their contract, and covers their activities while performing services for you. Change Cleaning is not liable for any acts or omissions of the Cleaners, including but not limited to damages, theft, or personal injury.
4. Client Responsibilities
4.1. Access to Property
The Client must provide safe and reasonable access to the property at the agreed-upon time. If our Cleaners cannot access the property due to the Client’s actions or inactions, the Client may be charged a cancellation fee equal to the full amount of the scheduled service.
4.2. Preparation for Service
The Client is responsible for ensuring that the service area is free from hazardous materials, belongings, and other obstacles that may impede our Cleaners' ability to perform their duties safely and efficiently.
4.3. Pet Policy
The Client must inform us in advance if there are any pets on the property. It is the Client's responsibility to ensure that pets in a safe area during the cleaning service to prevent any accidents or issues.
4.4. Valuables
The Client is advised to secure any valuables prior to the cleaning service. Change Cleaning and its Cleaners are not responsible for the loss or damage of any valuables left unsecured in the service area.
5. Liability and Insurance
5.1. Limitation of Liability
To the fullest extent permitted by law, Change Cleaning shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from or in connection with the use or performance of our services. This includes, but is not limited to, damages for loss of profits, use, data, or other intangibles.
5.2. Insurance
Our cleaning contractors carry their own liability insurance, and any claims related to damages, injuries, or other incidents should be directed to them. Change Cleaning’s own insurance is limited to general business liability and does not cover any claims resulting from the actions of our independent contractors.
5.3. Indemnification
The Client agrees to indemnify and hold harmless Change Cleaning, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or in connection with the Client’s use of our services, including any third-party claims or legal actions.
6. Payment Terms
6.1. Pricing
Prices for our services are as listed on our website or provided during the booking process. All prices are quoted in Canadian dollars and are subject to applicable taxes. Prices may vary based on the size of the property, the scope of services, and the location.
6.2. Payment Methods
We accept payment by credit card and other payment methods specified during the booking process. Payment is due immediately upon booking. The Client authorizes Change Cleaning to charge the provided payment method for the full amount of the service, including any applicable taxes and fees.
6.3. Late Payments
If payment is not received by the due date, Change Cleaning reserves the right to charge a late fee of 20% per month on the outstanding balance. The Client is responsible for all costs of collection, including legal fees and court costs.
6.4. Refund Policy
Change Cleaning does not offer refunds for completed services. If you are dissatisfied with the quality of our service, please contact us within 24 hours, and we will make reasonable efforts to address your concerns.
7. Cancellation and Rescheduling
7.1. Cancellation Policy
To avoid a cancellation fee, the Client must notify us of any changes or cancellations at least 24 hours before the scheduled service. Cancellations made with less than 24 hours' notice will result in a cancellation fee equal to the amount of the service.
7.2. Rescheduling Policy
The Client may reschedule a service without penalty if the request is made at least 24 hours in advance. Rescheduling requests made with less than 24 hours' notice may be subject to a fee equal to the amount of the service.
7.3. No-Show Policy
If the Cleaner arrives at the scheduled service time and is unable to access the property due to the Client's actions or inactions, this will be considered a no-show, and the Client will be charged the full amount of the scheduled service.
8. Privacy and Communication
8.1. Collection and Use of Personal Information
By providing your personal information, including but not limited to your name, address, phone number, and email address, you consent to the collection, use, and storage of this information in accordance with our Privacy Policy.
8.2. Communication Consent
By submitting your contact information, you consent to being contacted by Change Cleaning via phone, email, or other methods for the purposes of providing services, updates, promotions, and other communications until you opt out. You may opt out of communications at any time by contacting us directly.
9. Mediation and Dispute Resolution
9.1. Mediation Clause
In the event of any disputes arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation, the parties agree to submit the matter to mediation in Ontario, Canada. The mediation will be conducted in accordance with the rules of the ADR Institute of Canada.
9.2. Arbitration
If mediation fails to resolve the dispute, either party may submit the dispute to binding arbitration in Ontario, Canada. The arbitration shall be conducted in accordance with the rules of the Arbitration Act, 1991 (Ontario). The decision of the arbitrator shall be final and binding on both parties.
9.3. Legal Fees
The prevailing party in any arbitration or legal proceeding shall be entitled to recover their reasonable legal fees and costs.
10. Termination of Services
10.1. Termination by Change Cleaning
Change Cleaning reserves the right to terminate services at any time, with or without cause, by providing notice to the Client. Reasons for termination may include, but are not limited to, failure to adhere to these Terms, inappropriate behavior towards our Cleaners, or any other actions that, in our sole discretion, warrant termination.
10.2. Termination by Client
The Client may terminate services at any time by providing notice to Change Cleaning. Any services provided prior to termination will be billed at the applicable rates.
11. Force Majeure
Change Cleaning shall not be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, strikes, lockouts, wars, terrorism, civil disturbances, or governmental actions.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of Ontario, Canada.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between the Client and Change Cleaning with respect to the services provided. These Terms supersede all prior or contemporaneous communications, whether oral or written, regarding the subject matter herein.
15. Changes to Terms
Change Cleaning reserves the right to update or modify these Terms at any time, with or without notice. Any changes will be effective immediately upon posting on our website. Continued use of our services following any changes indicates your acceptance of the new Terms.
